Spoke Platform Terms

These Platform Terms govern your use of the platform located at www.spoke.law and any Spoke-branded mobile apps we make available (the “Platform”) and your relationship with Spoke Law Limited (“Spoke”, “we” or “us”). Please read them carefully as they affect your rights and liabilities under the law. By using the Platform you agree to be bound by these Platform Terms. If you do not agree to them, please do not register for or otherwise use the Platform. If you have any questions please contact spoke@lodlaw.com

1             Amendments

1.1           We may update these Platform Terms for legal or regulatory reasons or to allow the proper operation of the Platform.     The changes will apply to your use of the Platform after we have changed them. If you do not wish to accept the new Platform Terms you should not continue to use the Platform. If you continue to use the Platform,  that indicates your agreement to be bound by the new Platform Terms.

2             Registration

2.1           You can register on the Platform as a “Legal Professional” and/or as a “Hirer” (each a “User”).  If you do so, you must read and accept the Terms of Use for Legal Professionals and/or the Terms of Use for Hirers, as applicable.  You must only register once in either category but you may register in both categories.  You must ensure that the details you provide on registration and at any other time are correct and complete.

2.2           You must inform us immediately of any changes to the information that you provided when registering by updating your details in order that we can communicate with you effectively.  If you have registered as a Legal Professional on the Platform, you must keep your profile up to date.

3             Password and security

3.1           When you register to use the Platform you will be asked to create a password. You must keep this password confidential and must not disclose it or share it with anyone. If you know or suspect that someone else knows your password you should change the password and notify us by contacting spoke@lodlaw.com immediately.

4             Intellectual property

4.1           The content of the Platform is protected by copyright, trade marks, database right and other intellectual property rights. You may download, view and print a reasonable amount of the content for your personal use or internal circulation within your organisation, provided you keep intact all and any copyright and proprietary notices.

4.2           Subject to paragraph ‎4.1, you may not reproduce, extract, modify, copy or distribute or use for commercial purposes any of the materials, data or content on the Platform without our written permission.  In particular, but without limitation, you may not use data mining or data gathering tools to copy any of the data on the Platform or otherwise systematically extract data from the Platform.

5             User Content

5.1           If you upload content onto the Platform (“User Content”), you warrant that you have the right to do so.

5.2           You will remain the owner of your User Content but you agree that we are permitted to use it for any purpose related to the operation of the Platform and our group’s business and for marketing our (and our successors’ and assigns’) services.

5.3           You acknowledge that the transmission of information over the internet is not completely secure or error free.  Therefore you agree to use your discretion in deciding what to upload to the Platform.

5.4           We have the right to modify or remove User Content at any time to allow effective operation of the Platform. 

6             Confidentiality

6.1           You agree to keep any information that you gain about other Spoke and other Users confidential and you agree not to disclose any such information to any other person except: (a) with our consent; (b) where disclosure is required by applicable rules and law or any regulatory authority; or (c) to the extent that such information enters or has entered the public domain.

6.2           Notwithstanding paragraph ‎6.1, you agree that:

6.2.1        if you have registered on the Platform as a Hirer, you will keep confidential all profiles and cvs provided to you by us, whether via the Platform or otherwise, except that you may disclose any such information within your organisation as necessary to engage a Legal Professional via the Platform; and/or

6.2.2        if you have registered on the Platform as a Legal Professional, you will keep confidential all information about Hirers and potential jobs provided to you by us, whether via the Platform or otherwise.

7             Your use of the Platform

7.1           You agree to only use the Platform as intended and you agree not to work with a Hirer or Legal Professional who has become known to you via the Platform other than via the Platform or Spoke.

7.2           You may not use the Platform for any of the following purposes:

7.2.1        Publishing or disseminating any unlawful, harassing, libellous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material or otherwise breaching any laws;

7.2.2        transmitting material that encourages conduct that constitutes a criminal offence, results in civil liability or otherwise breaches any applicable laws, regulations or code of practice;

7.2.3        interfering with any other person's use or enjoyment of the Platform or the performance of all or part of the Platform; or

7.2.4        decompiling, disassembling, reverse engineering or otherwise attempting to derive any source code or underlying ideas or algorithms of any part of the Platform, except to the limited extent applicable laws specifically prohibit such restriction.

8             Platform provided free of charge

8.1           The Platform is provided free of charge.  Therefore, although we make reasonable efforts to provide the best service possible, you acknowledge and agree:

8.1.1        we make no representations, warranties or guarantees, whether express or implied, that the content is accurate, complete or up-to-date.  In particular, but without limitation, we do not promise that the Platform will meet your requirements and we have no obligation to verify the accuracy or completeness of User Content; and

8.1.2        we cannot guarantee that the service will be free from viruses or fault-free. If a fault occurs in the service you should report it to spoke@lodlaw.com  and we will attempt to correct the fault as soon as we reasonably can.

8.2           Your access to the Platform may be occasionally restricted to allow for repairs, maintenance or the introduction of new services. We will attempt to restore the service as soon as we reasonably can.

9             Limitation of liability

9.1           Except as otherwise agreed in the Hirer Terms of Use and/or the Terms of Use for Legal Professionals, we will not be liable for any loss or damage in connection with your use of, or inability to use, the Platform or your use of or reliance on any content on the Platform.

9.2           Our liability shall not, in any event, include business losses such as lost data, lost profits, loss of business opportunity, loss of goodwill or reputation or any indirect or consequential loss or damage.

9.3           This paragraph ‎9 shall not limit or affect our liability resulting from fraud or if something we do negligently causes death or personal injury.

9.4           You will be responsible for our losses and costs resulting from your breach of these Platform Terms.

10            Right to suspend or cancel your registration

10.1         We may suspend or cancel your registration immediately at our reasonable discretion or if you breach any of your obligations under these Platform Terms.

10.2         You can cancel your registration at any time by informing us in writing at spoke@lodlaw.com. If you do so, you must stop using the Platform.

11            International Use

11.1         The Platform is intended for use in the United Kingdom only. We make no promise that materials on the Platform are appropriate or available for use in locations outside the United Kingdom, and accessing the Platform from territories where its contents are illegal or unlawful is prohibited.

11.2         If you choose to access the Platform from locations outside the United Kingdom, you do so on your own initiative and are responsible for compliance with local laws.

12            Applicable Law

12.1         These Platform Terms and any non-contractual obligations arising in connection with them are governed by and construed in accordance with the laws of England and Wales.  Both you and Spoke agree to submit to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute that may arise under these Platform Terms, including disputes relating to any non-contractual obligations, except that Spoke may choose to take action in your home courts.

13            General

13.1         We process information about you in accordance with our Privacy Policy.  By using the Platform, you consent to such processing.

13.2         You may not assign or transfer any of your rights or obligations under these Platform Terms to any other person.  We may assign and transfer any or all of our rights and obligations under these Platform Terms to any other entity within the Spoke group.

13.3         If you breach these Platform Terms and we choose to ignore this, we will still be entitled to use our rights and remedies at a later date or in any other situation where you breach the Platform Terms.

13.4         The Platform is owned and operated by Spoke Law Limited, whose registered office is at St Magnus House, 3 Lower Thames Street, London EC3R 6HE.
